1. Agreement to these Terms
These Terms and Conditions (the "Terms") form a binding agreement between you and Med Plasty Technologies ("Med Plasty", "we", "us", or "our") and govern your access to and use of our website and our AI-powered aesthetic simulation platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a clinic or other organization, you represent that you are authorized to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Services.
2. Definitions
"Clinic" means the licensed aesthetic practice or organization that holds an account. "Authorized User" means a staff member permitted by a Clinic to access the Services. "Patient Data" means photographs and related information uploaded to the Services in respect of a patient or prospect. "Output" means a simulation image or result generated by the Services.
3. Eligibility and accounts
The Services are intended solely for licensed professionals and the organizations they represent. Clinic accounts are provisioned by Med Plasty administrators. You are responsible for maintaining the confidentiality of your credentials, for all activity that occurs under your account, and for ensuring your Authorized Users comply with these Terms. You must notify us promptly of any unauthorized access or suspected security breach.
4. The Services
The Services allow a Clinic, through its Authorized Users, to upload a patient photograph and generate illustrative before/after visualizations of potential aesthetic treatments. The Services are operated by the Clinic's staff and are not intended for direct use by patients. We may modify, enhance, or discontinue features of the Services from time to time.
5. License
Subject to your compliance with these Terms and your subscription, we grant the Clinic a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for its internal business purposes during the subscription term. All rights not expressly granted are reserved.
6. Patient consent and lawful use
The Clinic is solely responsible for obtaining all consents, authorizations, and legal bases required to upload and process Patient Data, including any explicit consent required for biometric or health-related data, and for complying with all applicable medical, privacy, advertising, and consumer-protection laws in its jurisdiction. You represent and warrant that you have obtained such consent before uploading any Patient Data.
7. Acceptable use
You agree not to: (a) upload Patient Data without the required consent; (b) use the Services in violation of any law or third-party right; (c) attempt to circumvent security, authentication, rate limits, or usage quotas; (d) reverse engineer, decompile, or attempt to extract the source code, prompts, or models underlying the Services; (e) use the Services to generate misleading, deceptive, or defamatory content, or to misrepresent likely clinical outcomes to patients; (f) resell or provide the Services to third parties except as expressly permitted; or (g) upload malicious code or content that is unlawful, harmful, or infringing.
8. AI Outputs are not medical advice
Outputs are illustrative visualizations generated by artificial intelligence. They are not a medical diagnosis, treatment plan, prescription, or guarantee of any clinical result. Outputs may contain inaccuracies and must always be reviewed and contextualized by a qualified, licensed practitioner. Actual treatment results vary by individual and depend on factors outside our control. Med Plasty does not practice medicine and provides no medical advice.
9. Intellectual property
The Services, including all software, designs, prompt systems, models, text, and other materials (excluding Patient Data and Clinic content), and all related intellectual-property rights, are owned by Med Plasty or its licensors and are protected by applicable laws. As between the Clinic and Med Plasty, the Clinic retains all rights in its Patient Data and grants Med Plasty a limited license to process it solely to provide and support the Services.
10. Fees, plans, and quotas
Access is provided under the plan assigned to your Clinic, which defines image quotas, term length, and any applicable fees. Quotas and plan terms are enforced by the Services and may be updated over time. Fees are non-refundable except where required by law. You are responsible for any taxes associated with your use of the Services.
11. Data protection
Our handling of personal data is described in our
Privacy Policy. With respect to Patient Data, the Clinic is the data controller and Med Plasty is the data processor, processing such data solely on the Clinic's documented instructions.
12. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that Outputs will meet your expectations.
13. Limitation of liability
To the maximum extent permitted by law, Med Plasty and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services. Our aggregate liability for all claims relating to the Services will not exceed the amounts paid by the Clinic to Med Plasty for the Services in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Med Plasty and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Patient Data, your breach of these Terms, your violation of any law, or your failure to obtain any required patient consent.
15. Suspension and termination
We may suspend or terminate access to the Services, in whole or in part, if you breach these Terms, misuse the Services, or create risk or legal exposure for Med Plasty. You may stop using the Services at any time. Upon termination, your right to access the Services ceases; provisions that by their nature should survive will survive.
16. Governing law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Med Plasty Technologies is established, without regard to its conflict-of-law principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer-protection rights you may have under local law.
17. General
These Terms, together with the Privacy Policy and any plan or order documentation, constitute the entire agreement between you and Med Plasty regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
18. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above indicates when these Terms were last revised, and material changes will be communicated by appropriate means. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
